Agreement to these terms
By accessing or using the Alpha Expansion website (alphaexpansion.com) or engaging Alpha Expansion for software engineering services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
Changes to terms
We reserve the right to modify these terms at any time. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We will notify active clients of material changes to service-related terms.
Services
Scope of services
Alpha Expansion provides software engineering, product design, and technical consulting services. The specific scope, deliverables, timeline, and compensation for each engagement are defined in a separate Statement of Work (SOW) or service agreement executed between Alpha Expansion and the client.
Service modifications
Scope changes, feature additions, or timeline modifications to an active engagement must be agreed upon in writing by both parties. Alpha Expansion reserves the right to assess additional fees for scope additions beyond the original agreement.
Third-party services
Our services may involve integrating or recommending third-party software, APIs, or platforms. Alpha Expansion is not responsible for the performance, availability, or terms of third-party services.
Intellectual Property
Client-owned deliverables
Upon receipt of full payment, all custom code, designs, and deliverables created specifically for a client engagement become the exclusive property of the client, as specified in the applicable service agreement.
Alpha Expansion intellectual property
Alpha Expansion retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and general-purpose code developed independently of any client engagement. Where such tools are incorporated into client deliverables, a perpetual license is granted.
Website content
All content on the Alpha Expansion website — including text, graphics, logos, and code — is the property of Alpha Expansion and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Payment Terms
Payment schedule
Payment terms for each engagement are specified in the applicable service agreement. Typical project engagements require a deposit upon contract execution, with milestone payments tied to defined deliverables.
Late payments
Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. Alpha Expansion reserves the right to pause work on an engagement if payment obligations are not met.
Refunds
Deposits are non-refundable. Refunds for milestone payments are addressed in the applicable service agreement and depend on the status of deliverables at the time of cancellation.
Limitation of Liability
Disclaimer of warranties
Our website is provided ‘as is’ without warranties of any kind. We do not warrant that the website will be uninterrupted or error-free. For service engagements, warranties are specified in the applicable service agreement.
Limitation of damages
To the maximum extent permitted by applicable law, Alpha Expansion shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Maximum liability
Alpha Expansion’s total liability to any client for any claims arising from a specific engagement shall not exceed the total fees paid by the client for that engagement in the 12 months preceding the claim.
Governing Law
Jurisdiction
These terms are governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of our website or services will be resolved through binding arbitration or the courts of competent jurisdiction, as specified in any applicable service agreement.
